1. Acceptance of Terms
By accessing or using Squanto (hereby referred to as “Squanto,” “GN Application,” “Company,” “we,” “us,” or “our”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately cease using Squanto.
2. Service Description
Squanto is a digital platform that connects users with performers, venues, and audiences. Squanto may facilitate transactions or payments between them but is not a party to these transactions. Squanto does not directly provide performance services, endorse, or guarantee the quality, safety, legality, or reliability of any performer, venue, or activity. Squanto is solely a facilitator and does not assume any responsibility for interactions between users, performers, or venues.
3. Assumption of Risk and Waiver of Liability
You acknowledge and agree that all interactions, transactions, and engagements facilitated by Squanto are at your own risk. Squanto is not responsible or liable for any incidents, injuries, disputes, dissatisfaction, financial loss, or any other issues arising from interactions, performances, or attendance at venues. By using Squanto, you voluntarily waive any claims against Squanto, its affiliates, directors, officers, employees, and agents arising from these interactions.
4. Dispute Resolution and Arbitration
Any dispute arising from or relating to the use of Squanto shall be exclusively resolved through binding arbitration conducted under the rules of the American Arbitration Association (AAA), in Los Angeles County, California. By using Squanto, you waive any right to a jury trial or to participate in class-action lawsuits or class-wide arbitration.
5. Limitation of Liability
To the maximum extent permitted by law, Squanto shall not be liable for any indirect, incidental, special, consequential, or exemplary damages resulting from your use of the app or any services. Squanto explicitly disclaims any liability concerning the actions, conduct, or omissions of performers, venues, and other users. Any disputes, financial obligations, or contractual engagements are solely between the user, performer, and/or venue.
6. Indemnification
You agree to indemnify, defend, and hold harmless Squanto, its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from your use of Squanto or any breach of these Terms.
7. Right to Deny or Terminate Service
Squanto reserves the right, at its sole discretion, to deny, suspend, or terminate service or access to any user or performer at any time without prior notice or explanation.
8. Prohibition on Malicious Conduct
Any malicious actions, fraudulent activities, or deliberate harm directed towards Squanto, its users, or its platform will result in the responsible party being liable for damages equal to ten (10) times the actual financial harm caused.
9. Modification of Terms
Squanto reserves the right to modify these Terms of Service at any time. Your continued use of the app following any changes constitutes acceptance of the revised terms.
10. Governing Law
These Terms shall be governed and interpreted according to the laws of the State of California, United States. Arbitration proceedings will be held in Los Angeles County, California.
11. Privacy and Data Collection
Squanto collects and processes personal data in accordance with its Privacy Policy. By using Squanto, you consent to the collection, storage, and processing of your information as outlined in the Privacy Policy. Squanto takes reasonable measures to protect user data but cannot guarantee absolute security. Use of Squanto requires agreement to the Privacy Policy.
12. User Conduct and Code of Ethics
Users and performers are expected to engage respectfully and professionally. Harassment, abuse, discrimination, or any form of illegal activity will result in immediate suspension or termination of service. Users must comply with all applicable laws and regulations.
13. No Guarantee of Service Availability
Squanto does not guarantee continuous, uninterrupted, or error-free operation of the platform. Squanto reserves the right to suspend, modify, or discontinue the service at any time without liability.
14. Third-Party Links and Services
Squanto may contain links to third-party websites or services. Squanto is not responsible for the content, policies, or practices of any third-party websites or services and does not endorse them. Users access third-party services at their own risk.
15. User Account and Security
Users are responsible for maintaining the confidentiality of their account credentials and agree to notify Squanto immediately of any unauthorized use or security breaches. Squanto is not liable for any loss or damage resulting from unauthorized account access.
16. Intellectual Property Rights
All content, trademarks, and intellectual property associated with Squanto remain the sole property of Squanto or its licensors. Users may not reproduce, distribute, or modify any part of the platform without explicit permission.
17. Refunds and Payment Disputes
All payments processed through Squanto are final. Refund policies are determined by individual performers and venues, not by Squanto. Squanto is not responsible for payment disputes between users, performers, or venues.
18. Compliance with Local Laws
Users are responsible for ensuring that their use of Squanto complies with all applicable local, state, and federal laws. Squanto disclaims any liability for users who violate legal or regulatory requirements.
19. International Hosting and Data Access
Squanto’s systems may be hosted internationally, and offshore teams may have access to user data for operational purposes, including support and maintenance. By using Squanto, you consent to the potential international transfer and processing of your data.
20. Age Restrictions
Users must be at least 13 years old to use Squanto. Users under the age of 18 are not permitted to upload or share their images without the explicit consent of a legal guardian. Squanto does not verify the age of users and is not responsible for unauthorized use by minors.
